Part time General Counsel, Company Secretary, Buckinghamshire

Our client is a global private equity owned retail enterprise with established markets across Europe and Australia and a fast growing business in the USA.
They are currently undertaking an exciting expansion programme and are seeking to fill a newly created role of General Counsel & Company Secretary, Europe. The successful candidate will join the European Management Team and provide a legal and company secretarial service to the business across Europe. This is a part-time role for 2-3 days a week.
The candidate will undertake all duties as Company Secretary and provide expert legal advice and service across 12 European countries of operation, ensuring legal compliance, limiting risk exposure and contributing to the development of the business through leading the legal processes in a broad range of matters.
The candidate will be a qualified solicitor (a company secretary qualification would be an advantage too) with a minimum of 6 years PQE experience of commercial law in a business environment.
They will have a broad legal knowledge of international law (corporate, employment, financial etc) and an in-depth degree of understanding of how legal issues affect businesses. Experience of working within a multi-national is required. Experience of franchises is also of interest.

Key Responsibilities

  • Dealing with the Companies Registration Office to prepare and submit annual returns, resolutions, reports and changes in share capital.
  • Keep the statutory books and records of the Company up to date including registers of shareholders, directors and secretaries.
  • Have ownership and regular oversight of European employee regulations to ensure compliance and reduce risk.
  • Establish and maintain a legal timeline of European legislative changes and impacts thereof.
  • Reduce risk of issues with European operators by driving the business to apply the right behaviours and processes and managing litigations and claims
  • Lead the legal processes on finance raises, Group transactions, regulatory and tax matters and a broad range of other legal matters including general corporate, commercial transactions, sales, marketing and operations.
  • Ensure compliance with Bond documents.
  • Negotiate, draft and structure a range of agreements, for example, on acquisitions, joint ventures, divestments and property deals.

Flexibility:   2-3 days a week, office based. Hours can be spread over the week if preferred.
                   Candidates need to be able to offer the flexibility to attend all day management meetings when required.
                   On occasion be able to ramp up working hours if the business requires.
                   Occasional planned European travel

Salary:        £80-100K FTE
